Accredited Investor
An investor that satisfies one of Rule 501(a)'s financial, professional, or entity-based tests and therefore may participate in certain exempt offerings.
What traders should verify
For Accredited Investor, identify the exemption or registration path, issuer, securities, investors, amount, first-sale or effectiveness date, closing evidence, proceeds, and ongoing filings.
Do not conflate
A filing, authorization, exemption, marketing event, or stated maximum involving Accredited Investor does not prove that an offering closed or that cash was received.
