Core terms

Private Offering

A commonly used label for an offering conducted under an exemption from Securities Act registration.

What traders should verify

For Private Offering, identify the exemption or registration path, issuer, securities, investors, amount, first-sale or effectiveness date, closing evidence, proceeds, and ongoing filings.

Do not conflate

A filing, authorization, exemption, marketing event, or stated maximum involving Private Offering does not prove that an offering closed or that cash was received.
