Section 4(a)(2)

What traders should verify

For Section 4(a)(2), identify the exemption or registration path, issuer, securities, investors, amount, first-sale or effectiveness date, closing evidence, proceeds, and ongoing filings.

Do not conflate

A filing, authorization, exemption, marketing event, or stated maximum involving Section 4(a)(2) does not prove that an offering closed or that cash was received.
