Regulation A
A scaled exempt public offering pathway, sometimes called a mini-IPO, allowing eligible issuers to raise up to the current Tier 2 cap with SEC qualification and ongoing requirements.
What traders should verify
For Regulation A, identify the exemption or registration path, issuer, securities, investors, amount, first-sale or effectiveness date, closing evidence, proceeds, and ongoing filings.
Do not conflate
A filing, authorization, exemption, marketing event, or stated maximum involving Regulation A does not prove that an offering closed or that cash was received.
